Annual General Meeting

NOTICE IS HEREBY GIVEN THAT the Annual General Meeting (AGM) of the Members of MDA National Limited ACN 055 801 771 (MDA National) will be held at Level 3, 88 Colin Street, West Perth, Western Australia on Thursday 21 November 2024 commencing at 11.00am (Australian Western Standard Time).

 

Members must register their interest to attend the 2024 AGM and indicate their mode of attendance (virtually or in person).

Members may attend the 2024 AGM in the following manner:

• subject to numbers, in person or by proxy at our Perth office, Level 3, 88 Colin Street, West Perth, Western Australia, at 11.00am (Australian Western Standard Time); or
• virtually, provided such Members have a computer or mobile/tablet device with internet access.

If you wish to attend the AGM, either in person or virtually, please register your attendance at returningofficer@mdanational.com.au by 12 noon AWST Wednesday 13 November 2024. Details on how to virtually join the meeting will be provided to relevant Members upon confirmation of attendance.

B. Minutes of 2023 AGM

Confirmation of the Minutes of the Annual General Meeting held on Friday 24 November 2023.

C. Consideration of the Following Resolutions

1. Adoption of the Mutual Board Annual Report

   To consider and, if thought fit, to adopt the report of the Mutual Board on the affairs of MDA National for the year ended 30 June 2024 (Annual Report). The Annual Report is available for download at mdanational.com.au. Printed copies of the Annual Report are available by contacting MDA National on 1800 011 255.

2. Adoption of Financial Reports

   To receive the Auditor’s Report, Balance Sheet and Income and Expenditure Statement for the year ended 30 June 2024.

3. Re- Appointment of Auditor

   To consider and, if thought fit, to pass the following ordinary resolution, with or without amendment:

   "Ernst & Young, being properly qualified auditors, be appointed as the auditors of MDA National for the financial year ending 30 June 2025, for a fee to be fixed by the Mutual Board & to conduct the audit of MDA National’s accounts for the 2024/2025 financial year in accordance with generally accepted accounting principles."

    

D. Election of Mutual Board – Announcement of Election Result

Four vacancies on the Mutual Board have been declared. An election will be conducted to determine how these vacancies will be filled and the results, if available, will be announced at the AGM.

E. General Business

To transact any other business brought before the meeting in accordance with the Constitution of MDA National.

PROXY FORMS

If you are not attending the AGM but are a Voting Member (as defined in the Constitution of MDA National) you have a right to appoint a proxy to attend and vote on your behalf at the 2024 AGM. Your appointed proxy does not need to be a Member of MDA National.

If you wish to appoint a proxy please complete the proxy available at mdanational.com.au or by requesting a copy from MDA National by calling 1800 011 255. In accordance with Section 17.20 of the Constitution of MDA National, all completed proxy forms must be received at least 48 hours before commencement of the 2024 AGM, being no later than 11.00am AWST on Tuesday 19 November 2024.
